The Annual General Meeting of the Members of Sporting Shooters Association of Australia (New South Wales) Sydney Branch Incorporated (Association) will be held at Bankstown Sports Club, 8 Greenfield Parade, Bankstown, Level 1 on Friday 13 December 2024. The doors will open at 6.30 pm to allow members to participate in an information session. Finger food and refreshments will be served from 6.30 pm. The AGM will commence at 7.30 pm. SSAA (NSW) Sydney Branch Inc. Financial SSAA members will only be permitted to attend. Membership cards will be checked at the door.
The SSAA (NSW) Sydney Branch Inc. is an approved club under the Firearms Act 1996 for collecting, hunting, and target shooting. Members who use their SSAA membership to support their genuine reason for collecting can make a collecting attendance at this meeting. Those who use their membership to support their genuine reason for hunting can make a hunting attendance at the 6:30 pm hunting club session. Under the Act target shooting attendances must be made at an approved shooting range so no target shooting attendances at this meeting.
We encourage all members to attend and inform the future direction of the Branch.

NOTICE IS HEREBY GIVEN that the Annual General Meeting of the Members of Sporting Shooters Association of Australia (New South Wales) Sydney Branch Incorporated (Association) will be held at Bankstown Sports Club, 8 Greenfield Parade, Bankstown, Level 1 on Friday 13 December 2024.

To receive and adopt the audited financial statements of the Association for the year ending 31 December 2023.
- SPECIAL BUSINESS WITH RESOLUTIONS THAT MUST BE PASSED AS SPECIAL RESOLUTIONS IF THE RESOLUTIONS ARE APPROVED
Association to Transition to become a Company
To consider and, if thought fit to pass, each of the following resolutions as a special resolution:
- That the Association take all steps required to secure the transition of the Association from an entity incorporated under the Associations Incorporations Act 2009 (NSW) (Associations Act) to become a company limited by guarantee incorporated under the Corporations Act 2001 (Cth.) (Corporations Act).
- That the Association apply to the Commissioner for Fair Trading, NSW Department of Finance, Services and Innovation (Department), or if there is no such position, to the Secretary of the Department (or the successor of the Department), in accordance with Section 78 of the Associations Act, for a transfer of registration declaration in relation to the Association’s proposed registration under the Corporations Act as a company limited by guarantee.
- If the Commissioner or Secretary referred to in resolution (2) issues the transfer of registration declaration referred to in resolution (2), that the Association then apply for registration as a company limited by guarantee under the Corporations Act in accordance with Chapter 5B Part 5B.1 of the Corporations Act and, without limiting the generality of this resolution, that the Association lodge an application in the prescribed form with the Australian Securities Investment Commission to secure that registration.
- That the Executive Officer, the Secretary and the President of the Association be and are hereby authorised to sign all documents and take all steps that are required to be taken to secure the transfer of the registration of the Association and the registration of the Association as a company limited by guarantee under the Corporations Act.
- That the constitution of the Association, upon its registration as a company limited by guarantee, be the constitution that is attached to the text of these resolutions and marked “A” and that has been uploaded to the Association’s website and that each of the Executive Officer, the Secretary and the President be authorised to certify that the attached constitution is the intended constitution of the Association upon its registration as a company limited by guarantee under the Corporations Act.
- APPROVAL OF PROPOSED CAPITAL EXPENDITURE
That this meeting approves the Association expending up to $200,000.00 (exclusive of GST and with a 10% contingency) to cover the cost of the following works at the Association’s Silverdale Rifle Range, in the period up to and including 31 December 2025, with those works to be undertaken in the order and with the priority that the Committee considers appropriate:
- Remediation and repurposing of the reloading shed to include Level 7 storage and lockers, offices, training rooms, and a member reloading area.
- Construction of an outdoor Archery Range.
- The upgrade of the existing facilities at the Range, including the conduct of electrical work and the upgrade of the car park.
- NUMBER OF ORDINARY COMMITTEE MEMBERS
That, in accordance with clause 9.1.3.2. of the Constitution of the Association, the number of non-Executive Committee Members for the next year be fixed at four (4).
- ELECTION OF EXECUTIVE AND COMMITTEE MEMBERS
Note: The Committee is composed of 5 Executive Members and the number of non-Executive Members of the Committee (which must not be less than 3) approved by the Members in General Meeting.
At each Annual General Meeting, Members of the Committee retire by rotation, either because the current office holder has reached the end of their appointed term or because the office holder was appointed to fill a casual vacancy. When a Committee Member is appointed to fill a casual vacancy, that Committee Member is required to retire at the next Annual General Meeting of the Association and to offer himself or herself for re-election, if they choose to do so.

- AUDITOR
Appointment of the auditor of the Association for the year ended 31 December 2024.
- LIFE MEMBERSHIP
To consider, and if fit to pass the following resolutions:
- In accordance with clause 6.5.1 of the Constitution of the Association, this meeting resolves that the Association confer life membership on James Walsh being a Full Member of the Association.
- In accordance with clause 6.5.1 of the Constitution of the Association, this meeting resolves that the Association confer life membership on Marianne Taranto, being a Full Member of the Association.
- In accordance with clause 6.5.1 of the Constitution of the Association, this meeting resolves that the Association confer life membership on Antonio Zoccoli being a Full Member of the Association.
- NOTICES OF MOTION
To consider any notices of motion received in writing by the Secretary within the time limited by the Constitution of the Association.
- GENERAL BUSINESS
To consider any items that may be brought forward as general business at the meeting, raised in accordance with the Constitution of the Association.

INVITATION TO ALL MEMBERS: CONSULTATION ON THE SSAA SYDNEY BRANCH DRAFT CLG CONSTITUTION

Further to our email on 14 June 2024 informing members of an important change in our legal status that the Committee has been working to implement, we are pleased to advise you of some important dates relating to the implementation of the Association’s new Constitution.
You will remember that the Association exists as an incorporated Association. We are established under the NSW Associations Incorporation Act 2009 (Associations Act).
We have been working with our solicitors on this matter to develop a new Constitution to transition the Association from our current status under the Associations Act to become a CLG (Company Limited by Guarantee) under the Corporations Act 2001, which is administered through the Federal Government and the Australian Securities & Investments Commission (ASIC).
The Association will continue to exist. We will simply transition from our current incorporated Association status to become a CLG. The Association will not be wound up, it will simply transition from its current legal structure as an incorporated Association to a new legal structure as a CLG. The assets of the Association will be held via the new CLG structure.
The Draft SSAA Sydney Branch CLG Constitution sets out the rules governing the internal affairs of the SSAA Sydney Branch including the relationships between a CLG, its members and its directors.
We invite all members of the SSAA Sydney Branch community to attend the upcoming consultation meetings regarding the Draft SSAA Sydney CLG Constitution. Your feedback and input are vital in shaping the future of our organisation.
The consultation process will run for four (4) weeks from 31 October until 30 November 2024. Members will be invited to vote on 5 SPECIAL BUSINESS RESOLUTIONS THAT MUST BE PASSED AS SPECIAL RESOLUTIONS IF THE RESOLUTIONS ARE APPROVED on the Constitutional changes at the AGM to be held on 13 December 2024.
The consultation meetings will provide an opportunity for you to:
- Review the Draft SSAA Sydney Branch Constitution.
- Share your thoughts, concerns and suggestions on the proposed changes.
- Discuss the importance of various provisions and how they impact our community.
- Collaborate with the SSAA Sydney Branch leadership team to refine the document.
Your participation in these meetings will help us create a constitution that truly represents the interests of our diverse membership base. Your voice matters, and we want to ensure that all perspectives are considered in this process.
It’s important to understand that not all feedback can be incorporated into the Constitution due to the Company’s legal constraints and operational requirements.
Printed copies of the Draft Constitution will be on display during operational hours at Silverdale Rifle Range, Anzac Rifle Range, St Marys Indoor Centre (Pistol Club Office).
